Photographer Agreement

⚠️ Pilot Notice

LensWizards is currently in an early, pre-commercial pilot. During the pilot, LensWizards is a discovery and booking surface only — it helps families find photographers and request sessions. LensWizards does not process payments, charge any commission, or make any payouts during the pilot.

You arrange the session and collect payment directly with the client, exactly as you would for any booking from your own channels. You invoice and are paid directly, and your own professional arrangements (including any insurance) remain entirely your own.

Any section below describing platform commission, payment processing, payout thresholds, or payout schedules is suspended for the duration of the pilot and does not apply. These sections are being revised, and an updated agreement will be provided before any payment processing is introduced. In case of any conflict, this Pilot Notice prevails.

This Photographer Agreement (“Agreement”) sets forth the terms and conditions under which you (“Photographer”) may use the LensWizards platform to offer photography services. By accepting this Agreement, you acknowledge that you have read, understood, and agree to be bound by its terms, as modified by the Pilot Notice above.

1. Independent Contractor Status

1.1 Relationship

You acknowledge and agree that you are an independent contractor and not an employee, agent, or partner of LensWizard. Nothing in this Agreement creates an employment, agency, joint venture, or partnership relationship.

1.2 Responsibilities

As an independent contractor, you are solely responsible for:

Your own taxes, including income tax, VAT/GST, and social security contributions
Obtaining and maintaining any required business licenses or permits
Maintaining adequate insurance coverage for your photography services
Complying with all applicable laws and regulations in your jurisdiction

1.3 No Employment Benefits

You are not entitled to any employment benefits from LensWizard, including but not limited to health insurance, retirement benefits, paid leave, or unemployment compensation.

2. Platform Commission & Fees

Suspended during the pilot. LensWizards does not charge any platform commission or payment-processing fee during the pilot. You collect payment directly from your clients, and no amount is deducted by LensWizards. Commercial fee terms will be introduced in a future, separately communicated version of this Agreement.

3. Payment Terms

Suspended during the pilot. LensWizards does not process payments or make payouts during the pilot. There is no payout schedule, payout threshold, or payment-account requirement. You and your client arrange payment directly between yourselves.

3.1 Refunds

Because LensWizards does not process payments during the pilot, any refund is arranged directly between you and your client according to whatever terms you agreed with them.

4. Platform Rules & Conduct

4.1 Professional Standards

You agree to:

Provide high-quality photography services as advertised
Communicate professionally with customers
Honor confirmed bookings and arrive on time
Deliver photos within the agreed timeframe
Maintain accurate and current profile information

4.2 Prohibited Conduct

You must not:

Provide false or misleading information
Cancel bookings without valid reason
Harass, discriminate against, or abuse customers
Use the platform for illegal activities
Share customer personal information without consent

4.3 Cancellation Policy

Photographers who cancel confirmed bookings may face:

Temporary suspension of booking capabilities
Reduced visibility in search results
Account termination for repeated violations

5. Intellectual Property

5.1 Your Content

You retain ownership of all photographs and creative content you produce. By uploading content to the platform, you grant LensWizard a non-exclusive license to display and transmit that content as necessary to operate the service.

5.2 Promoting Your Work (Optional)

Most photographers want more bookings, and the most effective thing we can do is show your work to people who are not already on the platform.

If you opt in, you give LensWizards a non-exclusive, royalty-free, revocable licence to use the following to promote the platform and your own listings, on and off the platform:

photographs from collections you have published (never private galleries, never client deliveries);
your professional name, the city you work in, and your public profile photo;
the titles and descriptions of your published collections, and the venues you shoot at.

“Off the platform” means places such as social media, community forums, search engines, and printed material. We may crop or resize an image to fit a format, but we will not materially alter your photographs, and we will not present your work as anyone else’s.

What this does not do. It does not transfer any copyright — you keep ownership of every photograph (see 5.1). It does not give us the right to sub-licence your work to third parties for their own advertising, and it does not cover client photographs that were never published on the platform.

This is optional and reversible. You choose whether to opt in, and you can withdraw at any time in your account settings. When you withdraw, we stop using your material in new promotion. Material already published outside the platform — a post that is already live, or something already printed — may remain where it is, because we cannot always retract it, but we will remove it from anything we control on request.

Declining has no effect on your ability to publish collections, take bookings, or use any other part of the platform.

5.3 Platform Branding

You may not use LensWizard’s name, logo, or branding without prior written consent, except as necessary to indicate your participation on the platform.

5.4 Content Review and Curation

LensWizards may review, edit, and curate content submitted by photographers — including collection titles, descriptions, preparation notes, and location names — before publication, to ensure quality and consistency across the platform. Any substantive changes made by LensWizards are visible in your photographer dashboard before you publish your collection, giving you the opportunity to review and accept them. This editorial process does not affect your copyright ownership of photographs.

6. Liability & Indemnification

6.1 Limitation of Liability

LensWizard is not liable for:

Disputes between you and customers
Technical issues beyond our reasonable control
Loss of earnings due to platform downtime
Actions of customers or third parties

6.2 Indemnification

You agree to indemnify and hold harmless LensWizard and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the platform or violation of this Agreement.

7. Termination

7.1 Voluntary Termination

You may terminate this Agreement at any time by deactivating your photographer account.

7.2 Termination by LensWizards

LensWizards may terminate this Agreement immediately if you:

Violate this Agreement or platform policies
Engage in fraudulent or illegal activity
Receive repeated complaints from customers

7.3 Effect of Termination

Upon termination:

Your access to photographer features will be revoked
Pending bookings may be cancelled or reassigned
Your data will be handled according to our Privacy Policy

8. Modifications

LensWizard may modify this Agreement at any time. Material changes will be communicated via email or platform notification at least 14 days before taking effect. Your continued use of the platform after changes take effect constitutes acceptance of the modified terms.

9. Governing Law

This Agreement is governed by the laws of Germany. Any disputes shall be resolved in the courts of Munich, Germany.

10. Acceptance

By clicking “Accept Agreement” or continuing to use photographer features on the platform, you confirm that you:

Have read and understood this Agreement, including the Pilot Notice
Accept all terms and conditions that apply during the pilot
Are authorized to enter into this Agreement
Understand that during the pilot you collect payment directly from clients and LensWizards charges no commission
